The terms governing purchases and subscriptions on MediaMind.

These Terms of Sale govern the purchase of subscriptions and services from Wildcard Technologies Limited ("we", "us", "our") through the MediaMind platform ("our Platform"). These terms should be read alongside our Terms and Conditions of Use and our Privacy Policy.

By purchasing a subscription or service from us, you agree to be bound by these Terms of Sale. If you do not agree to these terms, you must not purchase any subscription or service from our Platform.

1. WHO WE ARE

Wildcard Technologies Limited is a limited company registered in England and Wales under company number 16371095 and has a registered office at 116 High Street, Egham, Surrey, United Kingdom, TW20 9HB.

2. SUBSCRIPTION PLANS

MediaMind is offered under the following subscription tiers:

2.1 Free

Limited access to core features with usage restrictions. No payment is required. The Free tier is subject to our Terms and Conditions of Use and may be modified or discontinued at our discretion.

2.2 Personal (£19 per month)

Full access to transcription, translation, and core video intelligence features for a single individual user. Billed monthly.

2.3 Team (£49.99 per month)

Collaborative features, shared projects, and team management capabilities. Billed monthly.

2.4 Enterprise (Custom Pricing)

Bespoke deployment options including private cloud hosting, custom integrations, dedicated support, and tailored service-level agreements. Enterprise pricing is agreed on an individual basis and is subject to a separate Enterprise Agreement.

Full details of the features and usage limits included in each plan are available on our Platform and may be updated from time to time.


3. HOW TO SUBSCRIBE

To purchase a paid subscription, you must:

  • Create a user account on our Platform (if you do not already have one);
  • Select your preferred subscription plan;
  • Provide valid payment details; and
  • Confirm your purchase.

Your subscription will begin immediately upon successful payment, unless otherwise specified. We will send you an email confirming your subscription and the key details of your purchase.

For Enterprise subscriptions, the process may differ and will be agreed directly with our sales team.


4. PRICING AND PAYMENT

4.1 Prices

All prices displayed on our Platform are in British Pounds Sterling (£) and are inclusive of any applicable VAT, unless otherwise stated.

We reserve the right to change our prices at any time. Any price change will be communicated to existing subscribers at least 30 days in advance and will take effect at the start of the next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

4.2 Payment

Payment for subscriptions is processed through our third-party payment provider. We accept payment by major credit and debit cards, and such other payment methods as may be made available on our Platform from time to time.

We do not store your full payment card details. All payment information is handled securely by our PCI DSS-compliant payment provider.

4.3 Billing Cycle

Paid subscriptions are billed on a monthly recurring basis. Your billing date is determined by the date on which you first subscribe. You will be charged the applicable subscription fee at the start of each billing cycle.

4.4 Failed Payments

If a payment fails, we will attempt to process the payment again and may notify you by email. If payment cannot be collected after reasonable attempts, we reserve the right to suspend or downgrade your account until payment is successfully processed.


5. AUTOMATIC RENEWAL

All paid subscriptions renew automatically at the end of each billing cycle at the then-current subscription price, unless you cancel your subscription before the renewal date.

We will not send separate renewal reminders before each monthly billing cycle. It is your responsibility to cancel your subscription if you no longer wish to continue.

You can manage your subscription and view your next billing date through your account settings on our Platform.


6. YOUR RIGHT TO CANCEL (COOLING-OFF PERIOD)

If you are a consumer (an individual acting for purposes outside your trade, business, craft, or profession), you have the right to cancel your subscription within 14 days of the date of purchase without giving any reason. This is your statutory cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

6.1 How to Cancel During the Cooling-Off Period

To exercise your right to cancel, you must inform us of your decision by a clear statement. You may do so by:

6.2 Effects of Cancellation During the Cooling-Off Period

If you cancel within the 14-day cooling-off period, we will reimburse all payments received from you without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to cancel.

We will use the same means of payment that you used for the initial transaction, unless you have expressly agreed otherwise. You will not incur any fees as a result of the reimbursement.

However, if you have requested that the services begin during the cooling-off period (by actively using the paid features of the Platform), you acknowledge that you will lose the right to a full refund to the extent that services have already been provided. In such cases, you may be charged a proportionate amount for the services provided up to the point of cancellation.


7. CANCELLATION AFTER THE COOLING-OFF PERIOD

After the 14-day cooling-off period, you may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle.

To cancel your subscription, you may:

  • You will continue to have access to paid features until the end of your current billing cycle;
  • No further payments will be taken after the current billing cycle ends;
  • Your account will be downgraded to the Free tier at the end of the billing cycle (unless you choose to delete your account); and
  • You will retain access to any content you have uploaded, subject to the usage limits of the Free tier.

8. REFUNDS

8.1 Cooling-Off Period Refunds

Refunds during the 14-day cooling-off period are handled as described in section 6.2 above.

8.2 Refunds After the Cooling-Off Period

After the 14-day cooling-off period, subscriptions are non-refundable. When you cancel, you will retain access to paid features until the end of your current billing cycle but will not receive a refund for the remaining period.

8.3 Exceptional Circumstances

We may, at our sole discretion, offer refunds or credits in exceptional circumstances, such as:

  • Prolonged service outages caused by us that materially affect your ability to use the Platform;
  • Billing errors on our part; or
  • Other circumstances where we consider a refund to be fair and reasonable.

Any such refund or credit is entirely at our discretion and should not be considered an entitlement.


9. CHANGES TO YOUR SUBSCRIPTION

9.1 Upgrading

You may upgrade your subscription at any time through your account settings. When you upgrade:

  • The new plan will take effect immediately;
  • You will be charged a pro-rated amount for the remainder of the current billing cycle at the higher plan rate; and
  • Future billing cycles will be charged at the new plan rate.

9.2 Downgrading

You may downgrade your subscription at any time through your account settings. When you downgrade:

  • The change will take effect at the start of your next billing cycle;
  • You will retain access to the higher-tier features until the end of the current billing cycle; and
  • Any content or features that exceed the limits of the lower plan may become inaccessible (though your content will not be deleted).

10. FREE TIER

The Free tier is provided at no cost and is subject to usage restrictions as published on our Platform. We reserve the right to modify the features, limits, or availability of the Free tier at any time without prior notice.

The Free tier does not constitute a paid subscription and is not subject to the cancellation, refund, or cooling-off provisions in these Terms of Sale.


11. ENTERPRISE SUBSCRIPTIONS

Enterprise subscriptions are governed by a separate Enterprise Agreement entered into between you (or your organisation) and us. In the event of any conflict between these Terms of Sale and the Enterprise Agreement, the Enterprise Agreement shall prevail.

12. SUSPENSION AND TERMINATION BY US

We may suspend or terminate your paid subscription in the following circumstances:

  • You breach our Terms and Conditions of Use or these Terms of Sale;
  • Payment cannot be collected after reasonable attempts;
  • Your use of our Platform is, in our opinion, unlawful, inappropriate, or harmful; or
  • We are required to do so by law or by a competent authority.

Where we terminate your subscription due to a breach by you, no refund will be provided.

Where we terminate your subscription for reasons unrelated to any breach by you, we will provide a pro-rated refund for the unused portion of your current billing cycle.


13. OUR LIABILITY

Our liability in connection with subscriptions and services purchased through our Platform is governed by the Limitation of Liability clause in our Terms and Conditions of Use.

Nothing in these Terms of Sale affects your statutory rights as a consumer under the Consumer Rights Act 2015 or any other applicable legislation.


14. COMPLAINTS

If you are unhappy with any aspect of your subscription or the services provided, please contact us at info@wildcardtechnologies.co.uk. We will acknowledge your complaint within 5 working days and aim to resolve it within 14 working days.

If you are not satisfied with our resolution, you may refer the matter to an alternative dispute resolution provider or pursue your statutory rights.


15. CHANGES TO THESE TERMS OF SALE

We may update these Terms of Sale from time to time. We will notify existing subscribers of any material changes at least 30 days before they take effect. If you do not agree with the updated terms, you may cancel your subscription before the changes take effect.

The date on which these terms were last updated is shown at the top of this document.


16. APPLICABLE LAW

These Terms of Sale, their subject matter, and their formation are governed by the laws of England and Wales. The Courts of England and Wales shall have exclusive jurisdiction over any disputes arising under these terms.

If you are a consumer resident in a member state of the European Union, you may also benefit from any mandatory provisions of the law of your country of residence and may bring proceedings in your local courts. Nothing in these terms affects your statutory rights as a consumer.
